Rane (Madras) completes acquisition of Hindustan Composites’ friction business

Rane (Madras) Limited has completed its acquisition of Hindustan Composites Limited’s Friction Business. The business will be integrated into RML’s Brake Components Business, with the acquisition expected to be EPS accretive from the first year.

Rane (Madras) Limited (RML) has announced the successful completion of its acquisition of the Friction Business of Hindustan Composites Limited (HCL).

The Business Transfer Agreement for the transaction was signed on June 30, 2026, subject to customary regulatory approvals and other closing conditions. With all requisite conditions now fulfilled, the acquisition has been successfully completed.

HCL’s Friction Business will be integrated into RML’s existing Brake Components Business, further strengthening the company’s position in the friction business. The integration will be carried out in a phased manner, with a focus on maximising value for customers and stakeholders while driving operational synergies and leveraging the complementary strengths of both businesses.

RML expects the acquisition to be EPS accretive from the first year, while also creating additional opportunities for revenue growth and operational synergies.
